The use of Dhemfah site to sell or purchase books is a binding agreement between USERS "Authors, Agents, Self-Publishers, Publishers and Retailers", END USERS "Readers, Buyers, Viewers & Everyone else" And "Dhemfah Store"

Full force of Agreement goes into effect the moment a USER signs the contract with Dhemfah Store and END USERS use our services and purchase a book.

USERS:

Authors with multiple pen names are allowed to open a single account and fill in a single user details to set up their seller account. Then when adding new books, use as many Pen Names (Author Names) as they wish within their account.

Publishers and Other Retailers are also are allowed to open a single account and fill in a single user details to set up their seller account. Then add as many authored books as they have.

END USERS:

All books purchased through our site are non-refundable. Unless in the case of wrongful multiple purchase of a single product. Readers and buyers are thus free to purchase whichever book catches their attention placed for sales by Users on Dhemfah.

DHEMFAH STORE SERVICE:​

Dhemfah acts as a marketplace for all Users to publish and distribute their books, either from single or multi-authored books. We accept all books in the Fiction and Non-Fiction genre. As well as in the format of eBooks and Audiobooks. Thus Dhemfah is merely a distributor and does not own the works and books placed for sales on our site.

 

COPYRIGHT:

It's the responsibility of Publishers and Authors to ensure that all books are protected by copyright laws and that books are original content that do not infringe upon the rights of a third-party. Dhemfah is merely a marketplace for the sales of books and is not responsible for copyright protection or accountable for its violation.

 

We, however urge that violations are not tolerated in the store and thus we have the right to remove books that are proven to have infringed on a third-party's right.

 

As such, Publishers, Self-Publishers and Author retain the full rights to their books which are distributed through our store.

DISTRIBUTION RIGHT:

By using Dhemfah to sell, User confirm that they own or have the appropriate legal permission to the worldwide right to sell and distribute the books placed for sale on our store in the language for which the book is written in.

 

PUBLISHING:​

The USER hereby grants and assigns to Dhemfah, the non-exclusive worldwide right to digitally publish, distribute, market and sell, the work identified on your dashboard. Since the terms of the agreement with Dhemfah, herein, is non-exclusive, the USER is free to Publish, license, market and sell their work elsewhere so long as USER is not violating someone else’s agreement or violating any laws.​

User also profess that by placing their books for sale on our Dhemfah site, they have the legal unconditional worldwide rights to upload and sell the books being placed for sales on our site.

 

WARRANTY:

By Publishing on Dhemfah Store, USER guarantee that the book is fully completed and not an unfinished work and that USER;

 

• is the author or publisher or agent of the Work;

• work is not a public domain work;

• is the sole owner of the rights herein granted;

• has not assigned, pledged, or encumbered such rights or have not entered into any agreement which would conflict with the rights granted to Dhemfah herein; and agrees not to do any of the aforementioned without first unpublishing the work at Dhemfah;

• has full right, power, and authority to enter into this Agreement and to grant the rights granted herein;

• books do not and will not appear elsewhere on the Internet authored by people other than yourself or by pen names (pseudonyms) different from the pen name (Author Name) at Dhemfah.

PROMOTION & MARKETING​:

User grants to Dhemfah, the right to promote and market their books on our store, drawing readers and buyers interest to their titles. Copies used by Dhemfah Store to promote and market to a wider market User's books on the store will not attract any royalties for users.

 

However, Deals and Promo Ads set up by User through their own dashboard will attract a royalty from the sales made on those copies.

 

ROYALTY & PAYMENT:​​

• Dhemfah will pay all authors and publishers 70% of Retail Price of sales on our site.

• Distribution to our exclusive sub-distribution channel (ESDC) will bring in 30% royalty.

• Royalties are paid via Paypal.

• All First Payments are scheduled at the end of each bi-monthly period after a book is added to Dhemfah Platform. Afterwards, monthly payments will be issued out regularly.

• [I.e.; P1 (Jan. - Feb.) Paid on March 25.

• P2 (Mar. - Apr.) Paid on May 25

• P3 (May - Jun.) Paid on July 25

• P4 (Jul. - Aug.) Paid on September 25

• P5 (Sept. - Oct.) Paid on November 25

• P6 (Nov. - Dec.) Paid on January 25]​

TAX:

Users acknowledge that they are solely responsible for filing and reporting their own tax. The tax forms are a record of what you were paid by Dhemfah for your book sales. We are required to report this information to the IRS. Once your receive your document, you can consult your tax professional to determine what you should do with the 1099-MISC/1042-S Form you receive.

 

If you are a US citizen or entity for the purpose of taxes, a 1099-MISC Form will be issued to you by January 31st if you were were paid more than $10 in books sales in the previous year, and you may be required to report that income on your tax return.

 

If you are a Non-US citizen or entity for the purpose of taxes, a 1042-S Form will be issued to you by March 31st if you were paid more than $1 in book sales in the previous year. The information in the 1042-S is reported to the US Internal Revenue Service (IRS).

 

NB: For the security of your personal tax information, only the last four digits of your tax identification number are shown on your form. For example, XXXXX1234. 

Dhemfah delivers 1099-MISC and 1042-S electronically via the "Tax Forms" in your User Dashboard.​

 

INDEMNIFICATION:

USER agree to indemnify and hold Dhemfah and its licensees, successors and assigns, and its and their distributors, customers, officers, directors, members, subcontractors, employees and agents, harmless against any expense (including, but not limited to, reasonable attorneys’ fees and disbursements) or judgment, settlement or other liability arising out of any claim or legal proceeding asserting claims contrary to any warranty or representation made by You in this Agreement.

 

Upon receiving notice of any claim, demand, action or suit or other legal proceeding alleging facts inconsistent with or contrary to any of the warranties or representations contained in this agreement, Dhemfah shall have the right to withhold any sums payable to the USER in reasonable amounts as security for the payment of the USER’S potential obligations pursuant to the indemnity contained in this agreement.​

TERMINATION:​

Either party may terminate this Agreement at any time without notice. Registered Dhemfah members may cancel their membership at any time, and published USERS may unpublish their book listings at any time.  However, purchased books will not be removed from customers' accounts at Dhemfah.​

 

​AGREEMENT:

This Contract constitute the entire agreement between USER, End Users and Dhemfah. This Agreement shall be governed by and construed in accordance with the substantive laws of the State of Pennsylvania. If any portion of this Agreement is held invalid, the parties agree that such invalidity shall not affect the validity of the remaining portions of this Agreement.​

 

IN WITNESS WHEREOF, the parties hereto have executed this Agreement as of the date and the year upon which the USER first fills the seller user details and END USER purchase a book.
